Dealer Manager Fees. Fees in the amount of $0.30 per Share sold (“Dealer Manager Fees”) shall be paid by the Fund to MCUSA; provided, however, that such Dealer Manager Fees shall not be payable with respect to any Shares sold pursuant to the distribution reinvestment plan. MCUSA, in its discretion, may reallow any portion of the Dealer Manager Fee to Selling Dealers.
