In the event of a Delay in Customer supplied materials, S▇▇▇▇▇▇▇▇ will have 10 days upon actual delivery to S▇▇▇▇▇▇▇▇'▇ site to recalculate the new confirmed delivery date of all impacted Customer orders. ii) S▇▇▇▇▇▇▇▇ shall use all reasonable and appropriate precautions in handling and storing Customer Supplied Materials and inform Customer promptly in writing of any damage occurring to Customer Supplied Materials in S▇▇▇▇▇▇▇▇’▇ possession and any adverse effects experienced by persons handling Customer Supplied Materials. iii) Any Customer Supplied Materials shall be used by S▇▇▇▇▇▇▇▇ solely for the purpose of conducting the Manufacture of Products and shall not be transferred to any third party unless otherwise approved by Customer, including without limitation pursuant to Section 5.1. Customer shall retain all right, title and interest in and to all Customer Supplied Material delivered to S▇▇▇▇▇▇▇▇ and shall insure the Consigned Materials against loss and damage. Customer Supplied. Items (a) Other than any CSI or any items expressly specified in the Order Documents or the Additional Conditions to be provided by an Other Supplier in connection with this Agreement, the Supplier must provide all necessary Materials and resources to carry out the Supplier's Activities in accordance with this Agreement. (c) The following will not be a breach of this Agreement by the Customer, but in relation to Critical CSI, may entitle the Supplier to an extension of time if clause 6.8 applies: (i) the Customer failing to supply the CSI at the times and in accordance with any requirements specified in this Agreement; (ii) the Customer failing to maintain the CSI to any minimum standards specified in the Order Documents; or (iii) any Other Supplier failing to supply items in accordance with any requirements specified in this Agreement. (d) The Supplier must: (i) take all reasonable care of all CSI, including accounting for, preserving and handling all CSI in accordance with any requirements in the Order Form; (ii) take reasonable steps to protect the CSI from any loss, destruction or damage; (iii) not use any CSI other than: A. for the purpose for which the CSI was designed and manufactured; B. for the purpose of carrying out the Supplier's Activities in accordance with this Agreement; and C. in accordance with any applicable third party terms and conditions relating to the use of, or dealing with, such CSI; (iv) not modify or adapt any CSI without the prior written consent of the Customer; (v) promptly inform the Customer's Representative of any loss, destruction or damage to any CSI and (to the extent known) its cause and comply with any directions of the Customer in relation to such CSI; (vi) not part with possession of any CSI unless the Customer has provided its...

(c) The Contractor must: (i) not do any of the following without the prior written approval of the Customer: (A) use or allow others to use any Customer Supplied Item other than for the purposes as specified in this Head Agreement, the Entity Deed or the Order, whichever is relevant; (B) part with possession or custody of any Customer Supplied Items; (C) create or allow the creation of any lien, charge or mortgage over any Customer Supplied Item; (D) modify any Customer Supplied Items; or (E) remove Customer Supplied Items from the Customer’s premises or facilities; (ii) take all reasonable care of all Customer Supplied Items including accounting for, preserving, installing, storing or handling of Customer Supplied Items; (iii) promptly inform the Customer of any loss, destruction or damage to any Customer Supplied Items and, if requested by the Customer and to the extent that such loss, destruction or damage has been caused by the fault of the Contractor or Contractor Personnel, as soon as practicable replace the Customer Supplied Items at no cost to the Customer; (iv) comply with any reasonable instructions of the Customer for preserving, forwarding or disposing of any damaged Customer Supplied Items at its own cost provided that such damage has been caused by the fault of the Contractor or Contractor Personnel; and (v) indemnify the Customer for any loss or destruction of, or damage to, any Customer Supplied Items of a tangible nature caused by any act or omission of the Contractor or Contractor Personnel.
