Common use of Credit Arrangements Clause in Contracts

Credit Arrangements. Attached hereto as Schedule 5.14 is a complete and correct list of all material credit agreements, indentures, guaranties, Capital Leases and other investments, agreements and arrangements relating to borrowed money in effect on the Closing Date providing for or relating to extensions of credit to the Company or any Subsidiary, or any of them (including agreements and arrangements for the issuance of letters of credit or for acceptance financing) in respect of which the Company or any such Subsidiary, or any of them, are in any manner directly or contingently obligated; and the maximum principal or face amounts of the credit in question, outstanding and which can be outstanding, are correctly stated, and all Liens of any nature given or agreed to be given as security therefor are correctly described or indicated in such Schedule.

Attached hereto as As of the date hereof, Schedule 5.14 I is a complete and correct list of all material credit agreements, indentures, purchase agreements, guaranties, Capital Leases and other investments, agreements and arrangements relating to borrowed money presently in effect on the Closing Date providing for or relating to extensions of credit to the Company in an amount individually of $5,000,000 or any Subsidiary, or any of them more (including agreements and arrangements for the issuance of letters of credit or for acceptance financing, but excluding Financial Contracts entered into in the ordinary course of business in accordance with the Investment Practices) in respect of which the Company or any such Subsidiary, or any of them, are Borrower is in any manner directly or contingently obligated; and the maximum principal or face amounts of the credit in question, outstanding and which can be outstanding, are correctly stated, and all Liens of any nature given or agreed to be given as security therefor are correctly described or indicated in such Schedule.
