COVENANTS OF THE COMPANY ENTITIES. During the period from the Agreement Date until the earlier to occur of (i) the Closing or (ii) the termination of this Agreement in accordance with Article 10 (and after the Closing with respect to those covenants and agreements set forth in Section 5.15 that by their terms continue or arise after the Closing), the Company Entities and certain securityholders of the Company Entities, where applicable, hereby jointly and severally covenant and agree to act as follows:
