Cost Reductions. During the term of this Contract, any price decrease the Contractor receives from its suppliers shall be reflected in a reduction of the prices in this Contract and effective as of the date of the supplier’s decrease. In the event during the term of this Contract, the Contractor enters into lower pricing agreements with a customer with similar usage quantities, the Contractor shall promptly notify the City and offer such lower pricing to the City. Seattle will not be bound by prices contained in an invoice that are higher than those in the contract. Unless the higher price has been accepted by the City and the contract amended, the invoice may be rejected and returned to the Contractor for corrections.
Cost Reductions. Any cost reductions to the Vendor, such as rebates or “specials”, shall be reflected in a reduction of the contract price effective immediately. Seattle will not be bound by prices contained in an invoice that are higher than those in the contract. Unless the higher price has been accepted by the City and the contract amended, the invoice may be rejected and returned to the Vendor for corrections.
Cost Reductions. At all times during the Term, Operator shall use its reasonable commercial efforts to reduce its Direct Costs in the following cost categories (the “Reducible Costs”):
Cost Reductions. It is agreed and acknowledged that the pricing shall be calculated as described in Exhibit A to this Agreement and the JVC will work in good faith to achieve cost reductions on all materials and manufacturing process costs. The JVC will provide to Buyer an anticipated twelve (12) month cost reduction plan on a monthly basis. Allocation of costs savings shall be as follows:
Cost Reductions. To the extent permitted by law, Oji agrees to study, together with VCP, manners in which to optimize production and reduce manufacturing costs, for example, by developing alternative production processes and/or by introducing VCP to alternative suppliers of raw materials (including chemicals). Oji shall not be responsible or liable for any failure to optimize production, reduce manufacturing costs, develop alternative production processes or introduce VCP to alternative suppliers of raw materials, and any such failure shall not be construed as a breach of this Agreement by Oji.
Cost Reductions. The parties shall work together to develop cost reductions, but the foregoing does not constitute a guarantee by Impax of any cost reductions. Both parties agree that cost reductions may be possible by improvements in the technology for Manufacturing or by negotiating with regulatory authorities to achieve cost effective product specifications or by changes in regulatory standards applicable to manufacturing, among other reasons. Any such cost reduction program shall be expressly agreed to in writing by Impax and Schering prior to implementation and prior to any reduction in the price of the Product hereunder. In the event a cost reduction program is accepted, both parties agree to a sharing plan based upon the following conceptual guidelines:
Cost Reductions. SELLER shall provide on an as requested basis to BUYER, cost data that provide visibility to cost reduction projects for the LCD Assembly. To the extent that SELLER’s per unit production costs decline at any point during the Term of this Agreement, such cost savings shall be passed on to BUYER in the form of a reduction in the per unit purchase price. To the extent that the SELLER’s per unit production costs decline at any point during the term of this Agreement as a result of manufacturing cost-savings improvements, such cost savings shall be passed on to BUYER in the form of a reduction in the per unit purchase price. To the extent that Seller’s per unit production costs decline at any point during the term of this agreement as a result of quality cost savings improvements, such cost savings shall be passed on to BUYER in the form of a reduction in the per unit purchase price.
Cost Reductions. Solectron will continue throughout the term of this Agreement to reduce costs for all Products and Parts. All cost reductions will be shared in accordance with Exhibit B.
Cost Reductions. Flextronics agrees to seek ways to reduce the cost of --------------- manufacturing Products by methods such as elimination of components, obtaining alternate sources of materials, redefinition of Specifications, and improved assembly or test methods. Upon implementation of such ways which have been initiated by Flextronics, Flextronics will receive [***] of the demonstrated cost reduction. Replay Networks will receive [***] of the demonstrated cost reduction upon implementation of such ways initiated by Replay Networks. Replay Networks and Flextronics will review costs on a quarterly basis.
Cost Reductions. Supplier will work with Seagate to reduce the costs and expenses to make and deliver the Products to Seagate. If the costs or expenses decrease, Supplier and Seagate will address any price changes.
