Common use of Corporate authorisations Clause in Contracts

Corporate authorisations. copies of the relevant minutes containing the resolutions of the directors and shareholders of each Security Party approving the Security Documents to which such Security Party is, or is to be, party and authorizing the signature, delivery and performance of such Security Party’s obligations thereunder, as well as copies of the resolutions of the Corporate Shareholders to participate at the relative meeting of the shareholders of the respective Security Party. All copies of the meetings and resolutions of the Directors and Shareholders of each such Security Party to be certified (in a certificate dated not earlier than five Banking Days prior to the date of this Agreement) by the Secretary of such Security Party as:
