Requisite Authority. The Company has all necessary power and authority to enter into this Agreement and to perform the transactions contemplated hereby, except to the extent that the enforceability of the indemnity and/or contribution provisions contained in Section 7 of this Agreement may be limited under applicable securities laws and to the extent that the enforceability of this Agreement may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws that affect creditors’ rights generally or by equitable principles relating to the availability of remedies.
Requisite Authority. The Purchaser has the requisite capacity, power and authority to execute this Agreement and the Conveyance Documents and to perform the obligations to which it thereby becomes subject;
Requisite Authority. It has all necessary corporate power, authority and capacity to enter into and execute this Agreement, to sell the Assets and to perform its other obligations under this Agreement;
Requisite Authority. The Vendor has the requisite capacity, power and authority to execute this Agreement and the Conveyance Documents and to perform the obligations to which it thereby becomes subject;
Requisite Authority. The Buyer has requisite power and authority to execute and deliver this Agreement and any other instrument or agreement required under this Agreement, and to observe and perform the terms and provisions of this Agreement and of all such other instruments, and agreements.
Requisite Authority. Vendor has all requisite power and authority to enter into this Agreement and to perform the obligations of Vendor under this Agreement;
Requisite Authority. It has the requisite capacity, power and authority to execute this Agreement and the Conveyance Documents and execute and deliver the Note, and to perform the obligations to which it thereby becomes subject;
Requisite Authority. The Borrower has all requisite power and authority to execute and deliver and to perform its obligations in respect of this Amendment and each and every other agreement, certificate or document required by this Amendment;
Requisite Authority. The Vendor has the requisite capacity, power and authority (subject to obtaining any third party consents required in order to transfer the Assets) to execute this Agreement and the Conveyance Documents and to perform the obligations to which it thereby becomes subject;
Requisite Authority. Purchaser has taken all necessary corporate action and has all requisite power and authority to enter into this Agreement and to perform its obligations under this Agreement;
