Common use of Copy of Licensed Software Clause in Contracts

Copy of Licensed Software. Upon installing the Licensed Software as permitted herein, you may retain any installers and executables that Licensor has made available to you, but you may use them only for backup purposes. You may make one copy of the Licensed Software in machine-readable form for the purpose of backup in the event the installers or executables are damaged or destroyed, and one copy of the User Documentation for backup purposes only; provided, that any backup copy of the Licensed Software and User Documentation must include all copyright, trademark, and other proprietary notices contained on the original. You will account for and keep a record of the copy of the Licensed Software or User Documentation you make, including where the copy is located and the name of the custodian of the copy. You must provide these records to Licensor upon Licensor’s request.
