Contracts and Subcontracts. In fulfilling its obligations hereunder, the Contractor has the right to utilize the services of persons or entities by means of subcontractual relationships. The Contractor acknowledges and agrees that the execution of Subcontracts does not diminish or alter the Contractor's responsibilities under this Agreement. The Contractor must make all Subcontracts available to the Department within five (5) days of a request by the Department. Contracts and Subcontracts entered into by the Contractor do not terminate the Contractor's obligations under this Agreement. All contracts and Subcontracts must be in writing and must include, at a minimum, the provisions contained in Exhibit II of this Agreement, Required Contract Terms for Subcontractors. Subcontracts which must be submitted to the Department for advance written approval are: Any subcontract between the Contractor and any individual, firm, corporation or any other entity to perform part or all of the selected Contractor's responsibilities under this Agreement. This provision includes, but is not limited to, contracts for vision services, dental services, Claims processing, member services, pharmacy services and lobbying activities. This provision does not include, for example, purchase orders. Any transaction with a related party, regardless of its stated purpose, including, but not limited to, loans, advances and/or lease arrangements. The Contractor must inform the Department that the subcontractor is a related party at the time approval is requested.
