CONTRACTOR RESOURCES. Contractor shall obtain approval in advance by the State, in consultation with the Agency, of all employees, independent contractors or agents proposed for each SOW-RFP Project (“Key Personnel”). Key Personnel shall be identified in each SOW Agreement. Contractor shall use reasonable efforts to make available all Key Personnel for the entire life of the SOW RFP Project. Contractor shall not change Key Personnel without providing the State written justification and obtaining prior written approval of the State. State approvals for replacement of Key Personnel will not be unreasonably withheld. The replacement of Key Personnel shall have comparable or greater skills and applied experience than being replaced and be subject to reference and background checks described above. If Contractor removes Key Personnel for any reason, Contractor agrees to provide replacement Key Personnel and shall provide the first thirty (30) days of such replacement resource(s) with equivalent skill at no charge. Notwithstanding the foregoing, the State acknowledges that Key Personnel may become unavailable due to termination of employment for any reason, through disability or death, illness, or through leave of absence such as FMLA or National Guard duty for example. In such circumstances, Contractor shall promptly notify the State in writing of the impending or actual departure of any Key Personnel and of the qualifications and identity of proposed replacement Key Personnel. The State has the right to reasonably disapprove of any replacement Key Personnel. If Key Personnel does not perform up to acceptable or professional standards as required in this Master Agreement or the SOW Agreement, Contractor shall, when notified by the State, either replace the employees, independent contractors or agents with approved employees, independent contractors or agents or take remedial action agreed by State to ensure that Contractor Resources are acceptable to the State for the SOW Agreement. The State’s right to request replacement of Contractor personnel hereunder relates solely to the removal of individuals from work on this Master Agreement and/or the particular SOW Agreement and does not create any employment or principal- agent relationship with the State. Nothing in this Master Agreement or any SOW Agreement entered into hereunder authorizes the State to direct the Contractor’s termination of, or other adverse action related to, the employment of any individual.
CONTRACTOR RESOURCES. 24 CONTRACTOR shall provide trained, qualified, and experienced staff in a manner that will 25 ensure timely completion of the work. CONTRACTOR must be able to promptly replace absent 26 or underperforming staff in a manner that will not delay the work. 27 CONTRACTOR must provide and maintain its own vehicles, computers, accounting 28 systems, and any other equipment or software required to perform the services and generate any 1 related documentation. CONTRACTOR shall provide the appropriate safety training, 2 certifications, and PPE for its staff, and shall ensure that the same is provided to staff of any 3 subcontractors it engages. Costs for these items shall not be reimbursed as project expenses.
CONTRACTOR RESOURCES. Contractor will (i) make engineering resources reasonably available to Gogo on an agreed-upon schedule to assist with technical aircraft and cabin surveys, and (ii) provide information on existing aircraft systems and design-for-maintenance knowledge.

CONTRACTOR RESOURCES. Contractor’s and any Subcontractor’s employees, contract employees, consultants, agents, and all other persons or entities employed by or under the control of Contractor or any Subcontractor.
CONTRACTOR RESOURCES. Contractor possesses the business, professional, and technical expertise to collect, transport, process, and transfer the solid waste and recyclable material generated in the City; and Contractor possesses the equipment, facility, and employee resources required to perform the services specified in this Agreement.

Unless otherwise provided in the Contract Documents to be the responsibility of City or a separate contractor, Contractor shall provide through itself or Subcontractors the necessary supervision, labor, inspection, testing, start-up, material, equipment, machinery, temporary utilities and other temporary facilities to permit Contractor to complete the Work according to the Contract Documents. The Contractor shall provide and maintain a management team on the Site to provide contract administration. The Contractor shall establish and implement coordination and communication procedures among the Contractor, the City, the Project Designers and Subcontractors.

CONTRACTOR RESOURCES. Supplied by the Contractor/Fulfillment Partner. List the Key Person(s) who will perform the Service (or the specific sub-tasks set forth in this Work Statement and any resources that may be required and provided by the vendor.
CONTRACTOR RESOURCES.
15.1 Provision of Contractor Resources The Contractor is responsible for providing all:
(i) Consumables;
(ii) Canteen Goods;
(iii) goods, articles, vehicles, plant, and equipment;
(iv) computers and computer based systems, software, hardware, and programmes; and
(v) other property, which are required to properly perform the Services and the Contractor's Obligations (Contractor Resources), but having regard to the Contractor's rights to access and use the Prison Equipment and, where agreed with the State, the State Resources. The Contractor must ensure that the Contractor Resources are at all times fit and suitable for performing the Services and discharging the Contractor's Obligations by:
(i) arranging for all necessary repairs and replacement of parts and components; and
(ii) replacing any Contractor Resources, as may be necessary from time to time or as Directed by the State (acting reasonably) and otherwise to meet the requirements of Best Industry Practice. The Contractor acknowledges that the State may, at its discretion:
(i) allow the Contractor to access and use the State Resources on terms acceptable to the State;
(ii) provide any additional State Resources for access and use by the Contractor; and
(iii) withdraw from access or use by the Contractor, any State Resources provided by the State, for any period. The Contractor must not make any alterations or additions to any State Resources without the prior consent of the State. The Contractor must acquire and hold Contractor Resources in a manner that will enable it to comply with clause 29 at the end of the Operation Period.
