Contractor Facilities. 10.1 The Contractor will establish and maintain appropriate facilities for performing the Services and carrying out its obligations under this Contract. Such facilities will be maintained and upgraded during the Term to meet the Contractor’s obligations and the requirement to improve the level of service provided under this Contract. The Contractor’s facilities will be so located as to allow the Contractor to meet the required response times set out in this Contract. 10.2 The Contractor’s facilities will have adequate facilities for receiving the Authority’s reports of Faults, hosting the In-Station and for the storage of equipment required in respect of all Services to be undertaken by the Contractor under this Contract in accordance with the requirements set out in the Specification. In respect of the In-Station, the Contractor shall: 10.2.1 hold the In-Station on a fiduciary basis as the Authority’s contractual bailee; 10.2.2 host the In-Station separately from all other equipment of the Contractor or any third party in such a way that it remains readily identifiable as the Authority’s property; 10.2.3 maintain the In-Station in satisfactory condition insured on the Authority’s behalf for its full price against all risks to the reasonable satisfaction of the Authority; and 10.2.4 make the In-Station available for inspection by the Authority or its agents at any reasonable time. 10.3 Without limitation to Clause 10.2, the Contractor’s facilities will have secure storage space adequate for the volume of Free Issue Equipment issued by the Authority for the Services and for test equipment including a secure area to which only the Contractor’s engineer and the Authority will have access. Risk in the Free Issue Equipment will pass to the Contractor on delivery. While the Free Issue Equipment is in the possession of the Contractor and until it is installed on Site and Taken Over by the Authority, the Contractor will: 10.3.1 hold the Free Issue Equipment on a fiduciary basis as the Authority’s bailee; 10.3.2 store the Free Issue Equipment (at no cost to the Authority) separately from all other equipment of the Contractor or any third party in such a way that it remains readily identifiable as the Authority’s property; 10.3.3 not destroy, deface or obscure any identifying mark or packaging on or relating to the Free Issue Equipment; 10.3.4 maintain the Free Issue Equipment in satisfactory condition insured on the Authority’s behalf for its full price against all risks to the reasonable satisfaction of the Authority; and 10.3.5 make the Free Issue Equipment available for inspection at any reasonable time. 10.4 All costs in establishing, maintaining and upgrading the Contractor’s facilities pursuant to this Clause 10 will be borne by the Contractor.

Contractor Facilities. 10.1 13.1 The Contractor will shall promptly establish and maintain shall maintain, throughout the Term, appropriate facilities for performing the Services and carrying out its obligations under this Contract, including warehousing facilities for any necessary storage of any TC Equipment, Pooled Spares and/or spare or replacement parts it has purchased for carrying out of Capital Works, Maintenance and/or other Services. Such facilities will shall be maintained and upgraded by the Contractor during the Term in order to ensure the Contractor is able to meet the Contractor’s obligations and the requirement any and all requirements to improve the level level(s) of service provided for under this Contract. The Contractor shall ensure that the Contractor’s facilities will shall be located so located as to allow the Contractor to meet the required response and fix times and Availability Targets set out in this ContractContract and the other Performance Measures.
10.2 13.2 The Contractor shall ensure that the Contractor’s facilities will and equipment shall have adequate facilities and functionality for receiving the Authority’s reports of Faults, hosting the In-Station Faults and for the storage of TC Equipment and other equipment required in respect of all Services to be undertaken by the Contractor under this Contract and in accordance with the requirements set out in the Specification. 13.3 Without prejudice to Clause 13.2, the Contractor shall:
10.2.1 hold the In-Station on a fiduciary basis as the Authority’s contractual bailee;
10.2.2 host the In-Station separately from all other equipment of the Contractor or any third party in such a way shall ensure that it remains readily identifiable as the Authority’s property;
10.2.3 maintain the In-Station in satisfactory condition insured on the Authority’s behalf for its full price against all risks to the reasonable satisfaction of the Authority; and
10.2.4 make the In-Station available for inspection by the Authority or its agents at any reasonable time.
10.3 Without limitation to Clause 10.2, the Contractor’s facilities will shall, at all times, have secure storage space adequate for the volume purposes of storing any Free Issue T C Equipment issued by the Authority for the Services (and for test equipment TC Equipment too) and where Free Issue TC Equipment and TC Equipment too are protected from damage and/or degradation, including a secure area to which only the Contractor’s engineer Contractor Personnel and the Authority will have access. Risk in access and the Contractor shall insure such Free Issue Equipment will pass to the Contractor on delivery. While the Free Issue Equipment is in the possession of the Contractor and until it is installed on Site and Taken Over by the Authority, the Contractor will:
10.3.1 hold the Free Issue Equipment on a fiduciary basis as the Authority’s bailee;
10.3.2 store the Free Issue Equipment (at no cost to the Authority) separately from all other equipment of the Contractor or any third party in such a way that it remains readily identifiable as the Authority’s property;
10.3.3 not destroy, deface or obscure any identifying mark or packaging on or relating to the Free Issue TC Equipment;
10.3.4 maintain the Free Issue Equipment in satisfactory condition insured on the Authority’s behalf for its full price against all risks to the reasonable satisfaction of the Authority; and
10.3.5 make the Free Issue Equipment available for inspection at any reasonable time.
10.4 13.4 All costs in establishing, maintaining and upgrading the Contractor’s facilities pursuant to this Clause 10 13 and complying with this Clause 13 will be borne by the Contractor.
