Contractor Facilities. Contractor will be responsible for procuring, managing, maintaining and otherwise making available all Contractor Resources necessary to provide the Services in accordance with the Requirements hereunder. Contractor shall not impact services through any relocation of any Contractor facilities providing services pursuant to this Contract (“Contractor Facilities”). No Contractor Facility shall be located outside the United States.
Contractor Facilities. 10.1 The Contractor will establish and maintain appropriate facilities for performing the Services and carrying out its obligations under this Contract. Such facilities will be maintained and upgraded during the Term to meet the Contractor’s obligations and the requirement to improve the level of service provided under this Contract. The Contractor’s facilities will be so located as to allow the Contractor to meet the required response times set out in this Contract. 10.2 The Contractor’s facilities will have adequate facilities for receiving the Authority’s reports of Faults, hosting the In-Station and for the storage of equipment required in respect of all Services to be undertaken by the Contractor under this Contract in accordance with the requirements set out in the Specification. In respect of the In-Station, the Contractor shall: 10.2.1 hold the In-Station on a fiduciary basis as the Authority’s contractual bailee; 10.2.2 host the In-Station separately from all other equipment of the Contractor or any third party in such a way that it remains readily identifiable as the Authority’s property; 10.2.3 maintain the In-Station in satisfactory condition insured on the Authority’s behalf for its full price against all risks to the reasonable satisfaction of the Authority; and 10.2.4 make the In-Station available for inspection by the Authority or its agents at any reasonable time. 10.3 Without limitation to Clause 10.2, the Contractor’s facilities will have secure storage space adequate for the volume of Free Issue Equipment issued by the Authority for the Services and for test equipment including a secure area to which only the Contractor’s engineer and the Authority will have access. Risk in the Free Issue Equipment will pass to the Contractor on delivery. While the Free Issue Equipment is in the possession of the Contractor and until it is installed on Site and Taken Over by the Authority, the Contractor will: 10.3.1 hold the Free Issue Equipment on a fiduciary basis as the Authority’s bailee; 10.3.2 store the Free Issue Equipment (at no cost to the Authority) separately from all other equipment of the Contractor or any third party in such a way that it remains readily identifiable as the Authority’s property; 10.3.3 not destroy, deface or obscure any identifying mark or packaging on or relating to the Free Issue Equipment; 10.3.4 maintain the Free Issue Equipment in satisfactory condition insured on the Authority’s behalf for its full price against all...

Fees from Third Parties’ access to Contractor Facilities shall be credited to the Petroleum Operations Account. SOCAR shall have the right to use excess capacity in Contractor Facilities provided such use does not interfere with or adversely affect Petroleum Operations. Third Parties may use such excess capacity on terms agreed with Contractor. Prior to the achievement of Zero Balance with respect to a Development Area the priority of such use of Contractor Facilities relating to such Development Area shall be first Contractor, second Third Parties, and finally SOCAR. SOCAR shall pay a mutually agreed fee for such use to be credited to the Petroleum Operations Account. After Zero Balance the priority shall be first Contractor, second SOCAR and finally Third Parties.

Contractor shall notify SOCAR of its intention to dispose of any such equipment and facilities (except in the case of fixed assets to which the provisions of Article 14.2(d) shall apply). Unless SOCAR elects, within thirty (30) days to assume responsibility for and take delivery thereof, Contractor shall be free to dispose of any such equipment and facilities at the best price obtainable. Funds from such sales will be credited to the Petroleum Operations Account.
Contractor Facilities. The contractor must have facilities within 35 miles of NSWCCD which meet the safeguarding requirements specified by DD FORM 254. The facilities shall be 8,000 square feet or greater consisting of large-scale computer system development, storage and shipping spaces. Contractor Facilities. The Contractor's facility must have one or more operational truck weigh scales that shall be able to accommodate the Contractor’s trucks. These scales shall be equipped with a computerized system for recording loaded, empty, and unloaded weights of each Contractor truck weighed in and out of the Contractor's facility. This system shall generate a separate, sequentially numbered weight ticket for each truckload. The Contractor shall give one copy of the weight ticket to the Department’s disposal coordinator (see below), and submit one copy with the Contractor's invoice. At a minimum, this weight ticket shall display the following:  A unique identification number or code for the Contractor’s truck  The Department's address  The date and time the truck was loaded in and out  The running total of all loads delivered into the Contractor’s truck and unloaded into the Contractor’s facility during the shift.  Purchase order or contract identification number provided by the Department. The Contractor’s trucks will be weighed by the Contractor (using the Contractor's truck weigh- scales) while full, the Disposal Material will be dumped using the Contractor’s equipment, then the trucks will be weighed again by the Contractor on the Contractor’s scale to determine the net weight of Disposal Material off-loaded by the Contractor. The Contractor will be paid per ton of material off-loaded. There will be no other pay items so the Contractor will have to factor all costs, profits etc. into the bid for tons of material off-loaded. The Department may station a Department employee called a disposal expeditor at the Contractor's facility to observe weighing and disposal operations. This disposal expeditor will act as field liaison between the Department and the Contractor, coordinate with other Department operations, verify quantities and prepare receiving reports for disposal services. The disposal expeditor shall be authorized by the Department to make daily notifications, schedules etc., and shall act as the Department's on-site agent. As such, the disposal expeditor shall be authorized by the Department to issue instructions to the Contractor with respect to disposal operations. Disposal expeditors will be supervised by the Department's disposal coordinator, who may at times also issue instructions directly to the Contractor. Bu 9.3 bəndinin digər müddəalarına baxmayaraq, Podratçı həmişə Podratçının Obyektlərindən Neft-qaz Əməliyyatlarının məqsədləri üçün istifadə olunmasına üstünlük verir. (a) Contractor shall be responsible for the maintenance and repair of all facilities controlled and operated by Contractor in connection with the Petroleum Operations (“Contractor Facilities”). Notwithstanding the other provisions of this Article 9.3, Contractor shall at all times have priority use of the Contractor Facilities for the purposes of Petroleum Operations. (b) If pursuant to Article 9.3(d) Contractor identifies capacity in the Contractor Facilities in excess of that required by Contractor for the performance of Petroleum Operations (“Excess Capacity”) then, subject to the terms of this Contract and the continued availability of such Excess Capacity, SOCAR for and on behalf of itself and/or its Affiliates (or any other interested party, in accordance with Article 9.3(f)) shall have the exclusive right to use such Excess Capacity, in accordance with the provisions of this Article 9.3, provided such use does not interfere with or adversely affect Petroleum Operations.
