Contingency Provision. In the event this Grant is terminated for whatever reason, CARB Executive Officer or designee reserves the right in his or her sole discretion to award a grant to the next highest scored applicant and if an agreement cannot be reached, to the next applicant(s) until an agreement is reached. If CARB is unable to award a grant under these circumstances, CARB may reallocate funding to other projects.

Contingency Provision. If the implementation of any provision of this Agreement would reduce County revenue pursuant to 1991 State Legislation, then such provision will not be implemented and the parties will meet and confer on alternatives.

In the event of a court decision or a change in Oklahoma Statutes that impacts on the budget or efficient operation of the school district, the Board and Association will immediately resume bargaining in order to negotiate conditions or items affected by the change. All provisions of the Negotiations Procedural Agreement will be followed.
Contingency Provision. Should Children’s Center funding sources be reduced at any time during the term of this Agreement, the District shall have the right to open negotiations on the salary and fringe benefits of Children’s Center employees.

It is mutually agreed that in the event changes in the law of the State of Illinois should occur affecting this contract in its entirety and rendering the same null and void in all of the above terms and conditions, then this contract shall become merely a memorandum of understanding without legal efficacy between the parties; and in the event a part of the terms and provisions hereinabove set forth shall become null and void, then only that part rendered void shall become inoperative between the parties and the remaining terms and provisions shall be binding upon the parties hereto.

PROJECT RECORDS Grantee Record As further described below, project records must include but are not limited to the Grantee’s financial, and other project records. All project records must be retained for a period of three (3) years after final payment under this Grant. All project records are subject to audit pursuant to the General Provisions Section (Section XIII) of this Grant Agreement. Upon completion of the third year of record retention, the Grantee shall submit all project records to CARB. Hardcopy of electronic records are suitable. Acceptable forms of electronic media include hard drives, compact discs, digital video discs and flash drives. Other forms of electronic media may be allowed based on prior written concurrence from CARB. Other Records include all deliverables required in Exhibit B, Attachments 4, 5 and 6, of this Grant Agreement. The Grantee shall retain a file for the Proposed Zero-Emission Drayage Truck and Infrastructure Pilot Project containing, but not limited to: Original executed copy of the Grant Agreement and Grant Agreement Amendments for CARB and the CEC (if applicable); Copies of Grant Disbursement Request Forms and the supporting documentation that was submitted to CARB and the CEC; Documentation of project match expenditure by the Grantee, project partners and milestone; All Project Progress Reports; Invoices from project participants for reimbursable items; and All other information that documents all aspects of the project upon CARB’s request.

In the event this Grant is terminated for whatever reason, the CARS Executive Officer or designee reserves the right in his or her sole discretion to use or make the funds available in a manner consistent with applicable laws, policies and the applicable Funding Plan. which may include but is not limited to allocating the funds to other projects or awarding the grant to the next highest scored applicant and if an agreement cannot be reached, to the next applicant(s) until an agreement is reached.
