Confidential Information Definition. As used herein, “Confidential Information” means information disclosed by one Party and/or its Affiliate (the “Disclosing Party”) to the other Party and/or its Affiliate (the “Receiving Party”) pursuant to or in connection with this Agreement that the Disclosing Party identifies as being proprietary or confidential or that, given the nature of the information or the circumstances surrounding disclosure the Receiving Party knows or should know the Disclosing Party considers such information as confidenti al or proprietary. Axway’s Confidential Information includes information regarding products, pre-release products, software, services, pricing, marketing and business plans and financial information. Axway and Customer will treat the terms and conditions o f this Agreement as confidential; however, either Party may disclose such information in confidence to its immediate legal and financial consultants as required in the ordina ry course of that party’s business.
