Conditions to Obligations of Seller at the Closing. The obligations of Seller to consummate the Closing are subject to the satisfaction of the following conditions. Any condition specified in this Section 9.2 may be waived if consented to in writing by Seller.

Conditions to Obligations of Seller at the Closing. The obligations of Seller hereunder to be performed at the Closing are subject to the satisfaction at or prior to the Closing of the following conditions, except for any condition Seller may waive in accordance with Section 7.5.
Conditions to Obligations of Seller at the Closing. The obligations of Seller to consummate the Closing and to take the other actions required to be taken by Seller at the Closing are subject to the satisfaction or waiver, on or before the Closing Date, of each of the following conditions (any of which may be waived by Seller, in whole or in part, in writing, if permissible under Applicable Law): (a) Purchaser shall have performed and satisfied in all material respects each of its covenants and obligations hereunder required to be performed and satisfied by it on or prior to the Closing Date; and (b) each of the representations and warranties of Purchaser contained in Article III hereof shall have been true and correct as of the Agreement Date and at and as of the Closing with the same force and effect as if made as of the Closing (except that representations and warranties that are made as of a specified date shall be true and correct as of such specified date) except where the failure of such representations and warranties to be so true and correct (disregarding any materiality qualifiers), taken together, would not have a Material Adverse Effect.
