Conditions Precedent to Purchases and Reinvestments by CRC. Each Purchase (including the initial Purchase after the Restatement Effective Date) hereunder by CRC and the right of the Collection Agent, pursuant to Section 2.05 or 2.06, to reinvest in Pool Receivables those Collections attributable to an Eligible Asset owned by CRC shall be subject to the further condition precedent that on such date, all of the Seller's long-term public senior debt securities, if rated, are rated at least BB- (but lower than BBB-) by S&P and Ba3 (but lower than Baa3) by Moody's or, if not rated, such securities are deemed to merit at lexxx x XB (but lower than a BBB) rating in the sole discretion of the Agent.
