Conditions Precedent to Obligations of Compugraphics and the Selling Shareholders. The obligations of Compugraphics and the Selling Shareholders to consummate and effect the transactions contemplated hereby shall be subject to the satisfaction of the following conditions, or to the waiver thereof by Compugraphics and the Selling Shareholders in the manner contemplated by Section 6.4 before the Closing Date:
