Conditions Precedent to Obligation of the Purchaser to Close. The obligation of the Purchaser under this Agreement to purchase the Shares on the Closing Date shall be subject to delivery by the Seller of the Shares to the Purchaser and to the satisfaction of the following conditions precedent.
