Conditions Precedent to Initial Incremental Purchase and Restatement. The initial Incremental Purchase hereunder is subject to the conditions precedent that (a) the Program Agent shall have received on or before the date of such purchase those documents listed on Schedule B (in sufficient copies for each Managing Agent), each (unless otherwise indicated) dated the date of the initial Incremental Purchase, in form and substance satisfactory to the Managing Agents and (b) all fees and expenses required to be paid on such date pursuant to the terms of this Agreement and the Fee Letters have been paid.
