Conditions of Effectiveness of Amendments. The amendments to the Credit Agreement set forth in Section 1 shall become effective on the date (the “First Amendment Effective Date”) when each of the conditions set forth in this Section 3 shall have been satisfied and this Amendment, including the waivers and agreements set forth in Section 2(b), shall become effective on the date (the “Waiver Effective Date”) when the conditions set forth in Section 3(a)(i) and Section 3(a)(iii) below shall have been satisfied:

Conditions of Effectiveness of Amendments. The amendments to the Existing Agreement set forth in Section 1 hereof shall become effective as of the date hereof when, and only when, the Administrative Agent shall have received counterparts of this Amendment executed by the Borrowers, the Guarantor and the Required Lenders (in sufficient quantity for each party to have a fully executed original).
Conditions of Effectiveness of Amendments. The effectiveness of the Amendments of Credit Agreement set forth in Section 2 hereof is expressly conditioned upon satisfaction of each of the following conditions precedent:
Conditions of Effectiveness of Amendments. The amendments to the Existing Agreement set forth in Section 1 hereof shall become effective as of the date hereof when, and only when, the Agent shall have received (a) counterparts of this Amendment executed by each of the Company, the Banks and the Agent, (b) the consent of the Guarantor, in substantially the form of Exhibit A hereto, duly executed by an authorized officer of the Guarantor, (c) the upfront fee payable by the Company pursuant to that certain fee letter agreement, dated the date hereof, between the Company and Union Bank, and (d) all of the following documents, each document being dated the date of receipt thereof by the Agent (which date shall be the same for all such documents), in form and substance reasonably satisfactory to the Agent:
Conditions of Effectiveness of Amendments. This Amendment and the amendments to the Credit Agreement set forth herein shall become effective as of the date when, and only when, each of the following conditions shall have been fulfilled to the satisfaction of the Administrative Agent:
