Common use of Condition of Personal Property Clause in Contracts

Condition of Personal Property. Attached hereto as Exhibit I and incorporated by reference herein is a true, correct and complete list of the Assets owned by the Company or used by the Company in the conduct of the business formerly conducted by RomNet, including, but not limited to, all inventory, equipment, machinery and fixtures, (collectively, the "Personal Property"), indicating whether it is owned or the manner in which the Personal Property is otherwise utilized by the Company. The Company has or on the Closing Date will have sole and exclusive, good and merchantable title to all of the Personal Property owned by it including the Assets, free and clear of all pledges, claims, liens, restrictions, security interests, charges and other encumbrances, except as provided to the contrary in Exhibit I.
