Common use of Condition of Demised Premises Clause in Contracts

Condition of Demised Premises. Sublessee acknowledges and agrees that it has made a full and complete inspection of the Demised Premises and that no representations or warranties have been made by Sublessor or anyone on its behalf to Sublessee as to the condition or character of the Demised Premises except those contained in this Sublease. Sublessee agrees to accept the Demised Premises in its present "AS IS" condition, except for any work which the Sublessor has expressly agreed herein to perform. Any painting, decoration or maintenance of the interior of the Demised Premises by Sublessee during the term of the Sublease shall be at Sublessee’s sole cost and expense. At the expiration or termination of the subtenancy hereby created, Sublessee shall surrender the Demised Premises broom clean, in good condition, reasonable wear and tear excepted, and shall surrender all keys for the Demised Premises to the Sublessor at the place then fixed for the payment of rent. Sublessee shall remove all its equipment and trade fixtures and any alterations installed by Sublessee if required to be removed pursuant to the Lease, and shall repair any damage to the Demised Premises caused by the installation, presence and/or removal of said equipment, trade fixtures and/or alterations, before surrendering the Demised Premises as aforesaid, provided, however, that Sublessee will not be required to restore any other work or alterations to the Demised Premises to the extent such work or alterations were existing before the Commencement Date.

Condition of Demised Premises. Sublessee acknowledges At the expiration or other termination of this Lease Agreement, Lessee shall leave the Demised Premises, and agrees during the term hereof will keep the same, in good order and condition, ordinary wear and tear and damage by fire or other casualty alone excepted; and for that it has purpose and except as stated, Lessee will make all necessary repairs and replacements. Lessee will use every reasonable precaution against fire and will give Lessor prompt notice of any damage to or accident upon the installationDemised Premises. Lessee will also at all times remove all dirt, presence and/or removal of said equipmentrubbish, trade fixtures and/or alterations, before surrendering waste and refuse from the Demised Premises and at the termination of the term will also have had removed all its property therefrom, to the end that Lessor may again have and repossess the Demised Premises. Lessee acknowledges that the Demised Premises are now in good order and condition. Except as aforesaidexpressly otherwise provided in this Lease Agreement, providedLessor shall have no obligation to make any repairs, however, that Sublessee will not be required to restore any other work improvements or alterations to the Demised Premises to the extent such work or alterations were existing before the Commencement Dateat any time.

Condition of Demised Premises. Sublessee acknowledges Prior to May 1, 2004 (subject to delays caused by Force Majeur or any events beyond the reasonable control of Sublandlord), Sublandlord, at its sole costs and agrees that it has made a full expense, shall add certain demising walls and complete inspection other necessary work to make the Building suitable for more than one tenant ("Sublandlord's Base Building Work"). In addition, Sublandlord shall perform those alterations set forth on the attached EXHIBIT C ("Sublandlord's Work"), in accordance with plans attached hereto as EXHIBIT D and Sublandlord's Wiring Work as described in Section 21 of this Sublease, all by the Commencement Date. All work performed by or on behalf of Sublandlord shall be performed in a good and workmanlike manner using materials of substantially equal quality as are currently in the Building. Except for Sublandlord's Base Building Work, Sublandlord's Work and Sublandlord's Wiring Work, Sublandlord shall deliver the Demised Premises in broom clean but otherwise in its "as is" condition. Except as set forth herein, Sublandlord shall not be required to make any alterations, improvements, repairs or decorations to the Demised Premises, and the Subtenant acknowledges that the provisions of Article 4 of the Prime Lease, Article 6 of the First Amendment to the Prime Lease, Article 5 of the Second Amendment to the Prime Lease, or any other provision requiring work to be completed prior to occupancy of the Demised Premises and that no representations or warranties have been made by Sublessor or anyone on its behalf are not applicable to Sublessee as to the condition or character this Sublease. Subtenant's possession of the Demised Premises except those contained in this Sublease. Sublessee agrees to accept on the Commencement Date (as defined hereafter) shall be conclusive evidence that the Demised Premises have been delivered in its present "AS IS" conditionaccordance with the provisions of this Sublease and are acceptable to Subtenant, except for any excluding latent defects and work which the Sublessor has expressly agreed herein to perform. Any painting, decoration or maintenance of the interior of the Demised Premises by Sublessee during the term of the Sublease shall be at Sublessee’s sole cost and expense. At the expiration or termination of the subtenancy hereby created, Sublessee shall surrender the Demised Premises broom clean, in good condition, reasonable wear and tear excepted, and shall surrender all keys for the Demised Premises to the Sublessor at the place then fixed for the payment of rent. Sublessee shall remove all its equipment and trade fixtures and any alterations installed by Sublessee if required to be removed pursuant to the Lease, and shall repair any damage to the Demised Premises caused performed by the installation, presence and/or removal of said equipment, trade fixtures and/or alterations, before surrendering the Demised Premises as aforesaid, provided, however, Sublandlord herein that Sublessee will has not be required to restore any other work or alterations to the Demised Premises to the extent such work or alterations were existing before the Commencement Datebeen completed.
