Concessions and Commissions. No tenants of the Property are entitled to any concessions, rebates, allowances, or free rent for any period after the Closing and none of the Leases or other instrument that will be assigned to Purchaser at Closing provide for commissions payable by the owner of the Property that have not yet been paid by Seller.

Concessions and Commissions. To the best of Seller’s knowledge (i) none of the tenants of the Property are entitled to any concessions, rebates, allowances, or free rent for any period after the Closing except as may be provided expressly in the tenant Leases, and (ii) none of the Leases or other instrument that will be assigned to Purchaser at Closing provide for commissions payable by the owner of the Property that have not yet been paid by Seller.
Concessions and Commissions. (A) Combined management and underwriting commission: The Issuer shall, on the Closing Date, pay to MSSA (on behalf of the Managers) a combined management and underwriting commission of 0.20 per cent. of the aggregate principal amount of the Notes. Such commission shall be deducted from the Issue Price.

Seller agrees to indemnify, defend and hold harmless Purchaser for, from and against any and all claims, losses, damages, costs or expenses of any kind or character arising out of or resulting from any agreement, arrangement or understanding alleged to have been made by Seller or on Seller’s behalf with any broker or finder in connection with this Agreement or the transaction contemplated hereby, including Broker. Notwithstanding anything to the contrary contained herein, this Section 9.2 shall survive the Closing or any earlier termination of this Agreement.
