Common use of Compliance with Sanctions Clause in Contracts

Compliance with Sanctions. The Borrower represents and warrants that (a) neither it nor any of its Affiliates, directors, officers or employees, nor any of its agents (including any such agents or Affiliates that will act in any capacity in connection with, or benefit from, this Agreement), is (i) a Sanctioned Person, or (ii) in violation of any Sanctions, and (b) no Loan, use of proceeds or other transaction contemplated by this Agreement will result in the violation of any applicable Sanctions.

Compliance with Sanctions. The Borrower represents and warrants that (a) neither it nor any of its Affiliates, directors, officers directors or employeesofficers, nor (to the knowledge of the Borrower) any of its Affiliates, brokers and agents (including any such agents acting or Affiliates that will act benefitting in any capacity in connection with, or benefit from, this Agreement), with the Loans is (i) a Sanctioned Person, or (ii) in violation of any Sanctions, and (b) no Loan, use of proceeds or other transaction contemplated by this Agreement will result in the violation of any applicable SanctionsSanctions by any party to this Agreement.

The Borrower represents and warrants that (a) neither it Loan Party nor any of its Affiliates, directors, officers or employees, nor any of its agents (including any such agents or Affiliates that will act in any capacity in connection with, or benefit from, this Agreement), subsidiaries is (i) a Sanctioned Person, Person or (ii) in violation of any Sanctions, and (b) no Loan, use of proceeds of any Loan or other transaction contemplated by this Agreement will result in the violation of any applicable SanctionsSanctions by any party hereto.
