Common use of Compliance with Real Property Laws Clause in Contracts

Compliance with Real Property Laws. Transferor has received no written notice that the Real Property is not in full compliance with all applicable building, zoning, subdivision and other land use and similar Applicable Laws affecting the Real Property (collectively, the "Real Property Laws"). To the Knowledge of Transferor, there is no pending or anticipated change in any Real Property Law that will have or result in a Material Adverse Effect upon the ownership, alteration, use, occupancy or operation of the Real Property or any portion thereof. No current use by Transferor of the Real Property is dependent on a nonconforming use or other Governmental Approval the absence of which would materially limit the use of such properties or Assets held for use in connection with, necessary for the conduct of, or otherwise material to, the Business.
