Common use of Compliance with Laws and Standards Clause in Contracts

Compliance with Laws and Standards. A. Seller represents and warrants that: (i) it is a legal entity duly organized and in good standing under the laws of the state (or other governmental entity) of its organization, with full capacity to sue and to be sued; (ii) it is authorized to enter into and be bound by the terms of this Agreement; and (iii) neither this Agreement nor Seller’s performance hereof shall be a violation of applicable law or the terms of any material contract, instrument or agreement to which Seller is subject.
