Compensation on Termination of Employment. (Except Within Two Years Following a Change of Control). This Section 5 shall apply to termination of the Executive's employment during the Term and prior to a Change of Control (as hereinafter defined in Section 6) and to termination of the Executive's employment more than two (2) years following a Change of Control. This Section 5 shall not apply to termination of Executive's employment during the Change of Control Period (as hereinafter defined in Section 6):

  • Compensation Upon Termination of Employment If the Executive’s employment hereunder is terminated, in accordance with the provisions of Article III hereof, and except for any other rights or benefits specifically provided for herein to be effective following the Executive’s period of employment, the Company will provide compensation and benefits to the Executive only as follows:
