Early Termination of Employment. Team shall have the right to terminate Employee’s employment at any time for any reason. If Employee’s termination occurs after this Agreement has been presented to Employee and is determined by the CEO of the Company to have been for “Cause,” Employee shall not be entitled to any further payments or benefits under this Agreement and Team shall have the right to recover any benefits already provided under this Agreement. For purposes of this Agreement, “Cause” shall mean (i) the commission of a crime involving dishonesty, breach of trust, or physical harm to any person; (ii) employee willfully engages in conduct that is in bad faith and materially injurious to Team, including but not limited to, misappropriation of trade secrets, fraud, or embezzlement; (iii) a material breach of this Agreement or (iv) Employee’s willful refusal to implement or follow a lawful policy or directive of Team. Either party may terminate Employee’s employment at any time for any reason. In the event of such early termination for any reason other than for “Cause”, as described above, Employee shall be entitled to all payments and benefits due pursuant to Section B of this Agreement, except for the continuation of Base Salary beyond the actual termination date, as set forth in Sections B(1) and C(2) above.
