COMPENSATION AND LIABILITY FOR DAMAGES UPON TERMINATION. Neither party shall be relieved of liability to the other for damages sustained by either party by virtue of any breach of this Agreement, regardless of whether this Agreement was terminated for cause or for convenience. County may withhold any payments not yet made to Contractor for purpose of setoff until such time as the exact amount of damages due to County from Contractor is determined and established in writing, signed by both parties.
