Company desires that Buyers acquire the Shares and that Sherbrooke, ▇▇▇▇ Capital and CGA acquire the Warrants pursuant to this Agreement and believes that Company will benefit from the transactions to be consummated pursuant to this Agreement (the “Transactions”). The parties acknowledge that Company’s willingness to provide the covenants, acknowledgements and consents set forth in this Agreement is a material condition precedent to Seller’s willingness to sell the Securities to Buyers and Buyers’ willingness to purchase the Securities from Seller.
