Common use of Commercialization Activities Clause in Contracts

Commercialization Activities. Licensee shall have sole and exclusive responsibility, as well as sole control and decision-making authority, for all aspects of Commercialization of Products in the Field in the Licensed Territory, including all costs and expenses associated therewith, which Commercialization shall, in any event, be in accordance with this Agreement. Licensee shall use Commercially Reasonable Efforts to Commercialize Products in the Field throughout the Major Territories after obtaining the applicable Regulatory Approvals. Licensee shall undertake Commercialization activities with respect to each Licensed Asset and Product in the Field in the [***] in accordance with all Applicable Laws and applicable industry professional standards.
