Common use of Closing Title Issues Clause in Contracts

Closing Title Issues. (a) Title exceptions recorded with respect to the Asset by or with the consent of Seller or its Affiliates after 5:00 p.m. (Central time) on the effective date of the Title Commitment pertaining to the Asset last delivered prior to March 22, 2007, or caused by or arising out of the actions of Seller or its Affiliates after 5:00 p.m. (Central time) on the effective date of the Title Commitment pertaining to the Asset last delivered prior to March 22, 2007, and which could reasonably be expected to have a material adverse effect on the title, use, operation or value of the Asset; and (b) the Mandatory Seller Cure Items.
