Closing Conditions of each Purchaser. Each Purchaser’s obligation to enter into the Documents and purchase the Note and Warrants at the First Closing, the Second Closing, and Third Closing (as applicable and to the extent not previously fulfilled) is subject to the fulfillment of each and every one of the following conditions prior to or contemporaneously with such Purchaser entering into the Documents and purchasing the Note and Warrants at the applicable Closing (unless waived by such Purchaser in writing in its sole and absolute discretion):

The respective obligations of each Purchaser hereunder in connection with the Closing are subject to the following conditions being met: (i) the accuracy in all material respects when made and on the Closing Date of the representations and warranties of the Company contained herein (unless as of a specific date therein), and (ii) all obligations, covenants and agreements of the Company required to be performed at or prior to the Closing Date shall have been performed.
Closing Conditions of each Purchaser. The obligation of each Purchaser to consummate the Relevant Assignment is subject to the satisfaction at or prior to the Relevant Closing of each of the following conditions, any of which may be waived by such Purchaser:
