Common use of Change in Conditions Clause in Contracts

Change in Conditions. Sellers shall promptly notify Buyer of any change in any condition with respect to any or all of the Entities, the Projects or of the occurrence of any event or circumstance that makes any representation or warranty of Sellers to Buyer under this Agreement untrue or misleading, or any covenant of Buyer under this Agreement incapable or less likely of being performed, it being understood that Sellers' obligation to provide notice to Buyer under this Section 12.9 shall in no way relieve Sellers of any liability for a breach by Sellers of any of its representations, warranties or covenants under this Agreement.

Sellers Seller shall promptly notify Buyer Purchaser of any change in any condition with respect to the Project, the financial condition of any or all of the Entities, tenants under the Projects Leases or of the occurrence of any event or circumstance that makes any representation or warranty of Sellers Seller to Buyer Purchaser under this Agreement untrue or misleading, or any covenant of Buyer Seller under this Agreement incapable or less likely of being performed, it being understood that Sellers' Seller's obligation to provide such notice to Buyer under this Section 12.9 Purchaser shall in no way relieve Sellers Seller of any liability for a breach by Sellers Seller of any of its representations, warranties or covenants under this Agreement.
