Conditions to Closing Closing. The closing of the transactions contemplated by this Agreement (the “Closing”) shall take place on the date upon which the Merger Agreement Closing occurs (the “Closing Date”), remotely by electronic exchange of documents and signatures. The consummation of the transactions contemplated by this Agreement shall be (a) conditioned upon the consummation of the Merger and (b) deemed to occur as of immediately prior to the Effective Time.
