Certification and Release Documentation. In each Application for Payment, the Contractor shall certify that there are no known claims outstanding at the date of this application, that all due and payable bills with respect to the Work have been paid to date or shall be paid from the proceeds of this Application for Payment, and that there is no known basis for the filing of any claims on account of the Work, and that all work has been performed in strict conformity with the requirements of the Contract Documents and that the Contractor is unaware of any defective work. This certification will include that all sub-Contractors have been paid for outstanding work. Concurrent with each Application for Payment, the Contractor shall execute and furnish waiver of claims through the effective date of the previous Application for Payment.
Certification and Release Documentation. In each application for payment, the Design-Builder shall certify that: There are no known valid construction liens or bond claims outstanding at the date of this application, that all due and payable bills with respect to the Work have been paid to date or shall be paid from the proceeds of this Application for Payment, and that there is no known basis for the filing of any construction liens or bond claims on account of the Work, and that waivers from all subcontractors and sub-consultants and materialmen furnishing labor and materials in connection with the Work have been obtained in such form as to constitute an effective waiver of lien or bond claim under the applicable laws of the State of Florida. The Design-Builder further certifies that the Work for which this application for payment is being submitted has been performed in accordance with all applicable building codes, the Specifications and Plans for the Project, and that the Design- Builder knows of no deviations or defects relating to the work performed by it or its subcontractors or sub-consultants. Concurrent with each application for payment, the Design-Builder shall execute and furnish a waiver of lien rights and claims current to the effective date of such application and a consent of surety from the surety issuing the Public Construction Bond furnished by the Design-Builder in connection with the Project. The waiver of lien rights and claims shall be in that form attached hereto as Schedule “C”. The Design-Builder shall also deliver with each application and as a condition to payment thereof, waivers of lien and ▇▇▇▇ claims for each subcontractor who has provided labor, services, or materials through the effective date of the previous application for payment.

  • Reaffirmation and Confirmation Borrower hereby ratifies, affirms, acknowledges and agrees that the Credit Agreement and the other Loan Documents to which it is a party represent the valid, enforceable and collectible obligations of Borrower, and further acknowledges that there are no existing claims, defenses, personal or otherwise, or rights of setoff whatsoever with respect to the Credit Agreement or any other Loan Document. Borrower hereby agrees that this Amendment in no way acts as a release or relinquishment of the Liens and rights securing payments of the Obligations.   • Ratification and Confirmation of Agreement In the event of a conflict between the terms of this Amendment and the Agreement, it is the intention of the parties that the terms of this Amendment shall control and the Agreement shall be interpreted on that basis. To the extent the provisions of the Agreement have not been amended by this Amendment, the parties hereby confirm and ratify the Agreement.

  • Documentation and compliance (a) The data importer shall promptly and adequately deal with enquiries from the data exporter that relate to the processing under these Clauses. (b) The Parties shall be able to demonstrate compliance with these Clauses. In particular, the data importer shall keep appropriate documentation on the processing activities carried out on behalf of the data exporter. (c) The data importer shall make available to the data exporter all information necessary to demonstrate compliance with the obligations set out in these Clauses and at the data exporter’s request, allow for and contribute to audits of the processing activities covered by these Clauses, at reasonable intervals or if there are indications of non-compliance. In deciding on a review or audit, the data exporter may take into account relevant certifications held by the data importer.

  • Ratification and Confirmation Except as specifically amended herein, the Note Agreement shall remain in full force and effect, and is hereby ratified and confirmed.
