Capital Account; Unreturned Capital Contributions Account. An individual Capital Account shall be established, determined and maintained for each Partner in accordance with Treasury Regulation section 1.704-1(b)(2)(iv). Except as otherwise provided in Treasury Regulation 1.704-1(b)(2)(iv), each Partner's Capital Account (i) shall be credited with the cash and fair market value of property contributed to the Partnership by such Partner (net of liabilities encumbering such contributed property that the Partnership is considered to assume or take subject to under Code Section 752) and with such Partner's allocation of Partnership income and gain (or item thereof), including income and gain exempt from tax and gain described in section 1.704-1(b)(2)(iv)(g) of the Treasury Regulations, but excluding income and gain described in section 1.704-1(b)(4)(i) of the Treasury Regulations, and (ii) shall be debited with the cash and the fair market value of property distributed by the Partnership to such Partner (net of liabilities encumbering such contributed property that such Partner is considered to assume or take subject under Code Section for such

  • Capital Contributions Capital Accounts The capital contribution of the Sole Member is set forth on Annex A attached hereto. Except as required by applicable law, the Sole Member shall not at any time be required to make additional contributions of capital to the Company. The capital accounts of the members shall be adjusted for distributions and allocations made in accordance with Section 8.

  • Capital Contributions and Capital Accounts (a) The value of the interests contributed by the Class A Certificateholders and the Class I Certificateholders shall equal the amount paid by such Certificateholders for such interests, respectively, and such amounts shall constitute the opening balance in their Capital Accounts (as hereinafter defined). The value of the interests contributed by the Class IC Certificateholder shall equal the fair market value of the Receivables contributed to the Tax Partnership less the value attributed to the Class A Certificateholders and the Class I Certificateholders, as described above. Such amount shall constitute the opening balance in the Class IC Certificateholder's Capital Account.

  • Capital Contributions; Percentage Interest The Members shall make contributions to the Company in an amount approved by the Members.   • Capital Accounts Allocations There shall be established in respect of each Holder a separate capital account in the books and records of the Up-MACRO Holding Trust in respect of the Holder's Capital Contributions to the Up-MACRO Holding Trust (each, a "Capital Account"), to which the following provisions shall apply:

The Management Committee shall notify each other Member of the need for Capital Contributions pursuant to this Section 4.02 when appropriate, which notice must include a statement in reasonable detail of the proposed uses of the Capital Contributions and a date (which date may be no earlier than the fifth Business Day following each Member's receipt of its notice) before which the Capital Contributions must be made. Notices for Capital Contributions must be made to all Members in accordance with their Sharing Ratios.

  • Book Capital Accounts The Book Capital Account balance of each Holder shall be adjusted each day by the following amounts:

  • Additional Capital Contributions No Member shall be required to make additional capital contributions. A Member may make additional capital contributions to the Company.

  • Deficit Capital Account Upon the dissolution of the Company, any Member having a deficit balance in its Capital Account shall contribute to the Company the amount of cash or other assets (at their fair market value) necessary to bring the balance of such Member's Capital Account to zero after taking into account all allocations required by the regulations under Section 704(b) of the Code and all distributions of cash and other assets.
