Common use of Cancellation and Changes Clause in Contracts

Cancellation and Changes. Verizon may cancel this Purchase Order at any time prior to 24 hours from scheduled Product delivery by reasonable notice to Supplier. Verizon may terminate Services at any time by notification to Supplier, and in such event Supplier shall only be entitled to payment for Services fully performed prior to the date of such notification and otherwise qualifying for acceptance by Verizon hereunder. Verizon may, by written change order, make a change within the scope of this Purchase Order, including, without limitation, additions to or deletions from the quantities originally ordered; the specifications or drawings; or the time and place of delivery of any Work. If a change affects the cost or time for performance, an equitable adjustment shall be made, and this Purchase Order shall be amended. Any claim for such adjustment by Supplier must be asserted in writing by Supplier within 30 days from the date the change is ordered by Verizon. Pending negotiation of an equitable adjustment, Supplier will continue with Work as directed by Verizon.
