By the WSP. The WSP may terminate The Contract, by not less than thirty (30) days' written notice to the WSTF, such notice to be given after the occurrence of any of the events specified in the paragraphs (a) and (b) of this Clause (Clause 2.7.2): If the WSTF fails to pay any monies due to the WSP pursuant to the Contract and not subject to dispute pursuant to Clause 7 within forty-five (45) days after receiving written notice that such payment is overdue. If a result of a Force Majeure, the WSTF is unable to perform a material part of the agreement for a period of not less than twenty eight (28) days. Upon termination of the Contract pursuant to Clauses 2.7.1 or 2.7.2, the WSTF shall make the following payments to the WSP: Payment pursuant to Clause 6 for Services satisfactorily performed prior to the effective date of termination. Except in the case of termination pursuant to paragraphs (a) and (b) of Clause 2.7.1, reimbursement of any reasonable cost incident to the prompt and orderly termination of the Contract, including the cost of the return travel of the Personnel.
