By the Franchisor. The Franchisor shall have the right to terminate this Agreement effective upon delivery of written notice of termination to the Marketer, unless otherwise noted below (subject to any state laws to the contrary, where state law shall prevail) if the Marketer (and/or any of its shareholders, members, managers, Principal Owners, partners or the equivalent):
