Approved User Clause Samples
The 'Approved User' clause defines which individuals or entities are authorized to access or use certain services, systems, or information under an agreement. Typically, this clause specifies criteria or a process for designating approved users, such as requiring prior written consent or limiting access to employees of a party. By clearly identifying who is permitted to use the resources, the clause helps prevent unauthorized access and ensures that only vetted individuals interact with sensitive or proprietary materials, thereby reducing security risks and potential liability.
Approved User. A user approved by the relevant Data Access Committee(s) to access one or more datasets for a specified period of time and only for the purposes outlined in the Principal Investigator (PI)’s approved Research Use Statement. The Information Technology (IT) Director indicated on the Data Access Request, as well as any staff members and trainees under the direct supervision of the PI are also Approved Users and must abide by the terms laid out in the Data Use Certification Agreement.
Approved User. Collaborator: An individual who is not under the direct supervision of the PI (e.g., not a member of the PI’s laboratory) who assists with the PI’s research project involving controlled-access data subject to the GDS Policy. Internal collaborators are employees of the Requester and work at the same location/campus as the PI. External collaborators are not employees of the Requester and/or do not work at the same location as the PI, and consequently must be independently approved to access controlled-access data subject to the GDS Policy.
Approved User. Notwithstanding anything in this Paragraph 24 to the contrary, Tenant shall be permitted from time to time to permit its clients, vendors or business associates (“Approved Users”) to temporarily use or occupy not more than 25% of either Building, provided that (a) Tenant does not separately demise or charge rent for the use of such space and the Approved Users utilize, in common with Tenant, one common entryway to the Premises as well as certain shared central services, such as reception, photocopying and the like; (b) the Approved Users shall not occupy, in the aggregate, more than 25% of the rentable square footage of the Building; and (c) all Approved Users shall use or occupy space in the Premises only so long as the business relationship described above is maintained. If any Approved Users occupy any portion of the Premises as described herein, it is agreed that (i) in no event shall any use or occupancy of any portion of the Premises by any Approved User release or relieve Tenant from any of its obligations under this Lease; (ii) the Approved User and its employees, contractors and invitees visiting or occupying space in the Premises shall be deemed contractors of Tenant for purposes of Tenant’s indemnification obligations in Section 20.1; and (iii) in no event shall the occupancy of any portion of the Premises by Approved Users be deemed to create a landlord/tenant relationship between Landlord and such Approved Users, and, in all instances, Tenant shall be considered the sole tenant under the Lease notwithstanding the occupancy of any portion of the Premises by the Approved Users.
Approved User an Applicant who is granted access to OHS Data and/or OHS Biosamples by the Data Access Committee. This access must be renewed annually if the proposed project is not completed within a year.
