Both Parties Recognize the Benefits of Settlement. Both Parties recognize and acknowledge the expense and amount of time that would be required to continue to pursue the Action, as well as the uncertainty, risk and difficulties of proof inherent in prosecuting and/or defending such claims. Both Parties have concluded that it is desirable that the Action and any Released Claims be fully and finally settled and released as set forth in this Agreement. Plaintiff and Class Counsel believe that the agreement set forth in this Agreement confers substantial benefits upon the Class and is in the best interests of individual Class Members.
