Booking Agent. It is further understood and agreed by and between the Parties hereto that the obtaining of employment for Artist by Manager is not an obligation of Manager under this Agreement, that Manager is not an employment agent or theatrical agent, that Manager has not offered or attempted or promised to obtain, seek or procure employment or engagements for Artist and that Manager is not obligated, authorized, licensed or expected to do so. Manager may provide assistance in negotiating with theatrical booking agents or other persons, firms or corporations for the purpose of obtaining engagements for Artist, in which event the compensation to be paid to said theatrical booking agents, or other third parties for obtaining such bookings or engagements shall be paid by Artist in addition to the compensation payable to Manager hereunder. Artist and Manager hereby agree that the selection of booking agent(s) must be approved by Manager.
Booking Agent. Agent will accept and process bookings for products supplied by Operator on behalf of Operator through the Agent. Operator agrees as follows: • Agent will deduct an agreed upon commission rate of no less than 10% on any booking or successful referral made by them on behalf of the Operator. The price to the customer will be the same whether booked direct or booked by the Agent, with no additional commission component to be added. • Agent may release Operator information details to any person or business for contact purposes. • Agent will not be held liable/responsible in the event of a customer not proceeding with any product booked through the Agent. • Agent will not be held liable/responsible for any failure of a product to operate; any accident, injury or other circumstance arising from a product booked through the Agent. • Operator is solely responsible for advising any changes to prices or products provided and must do so in writing to the Agent. • Operator to notify Agent of any changes in rates, timetables or brochures, with • Operator acknowledges the Agent does not guarantee any minimum or fixed number of bookings will be sold on behalf of the Operator • Operator shall honour or cause to be honoured all bookings made with vouchers issued by the Agent on behalf of the Operator in connection with the Operator’s product. Operator confirms that it meets the current codes of compliance for it to run its business. Agent agrees to confirm all bookings made on behalf of Operator by phone or email. The information provided by the Operator to the Agent shall be accurate and shall not breach any applicable law or authorisation. It shall be a breach of this agreement if any of the information provided by the Operator is inaccurate or contravenes in any way any applicable law or authorisations.
Booking Agent. The term “Booking Agent” shall mean the Star Partner, except that if (i) CPE, directly or through its Subsidiaries, shall cease to own, operate and/or manage in the United States at least 200 motion picture theatre screens (including, for these purposes, (x) motion picture theatre screens in which the Partnership has an interest and (y) motion picture theatre screens owned, operated and/or managed by any other joint venture or partnership in which CPE, directly or through its Subsidiaries, owns an interest if CPE or any Subsidiary of CPE shall, with respect to such joint venture or partnership, exercise such powers and have such duties as are substantially equivalent to the Star Partner’s powers and duties as Booking Agent hereunder), (ii) the Star Partner shall be deemed Bankrupt or (iii) whether or not authorized in accordance with the terms of this Agreement, the Star Partner shall attempt to withdraw from the Partnership for any reason or give notice of intention to withdraw from the Partnership for any reason then, at the option of the ▇▇▇▇▇ Partner, the ▇▇▇▇▇ Partner shall (in addition to any other rights or remedies it may have hereunder) be entitled to assume the duties and powers of the Booking Agent under this Article 17 and, from and after the fifth business day after the ▇▇▇▇▇ Partner shall have delivered to the Star Partner notice of its election to assume such duties and powers, the ▇▇▇▇▇ Partner shall be the Booking Agent. If the ▇▇▇▇▇ Partner shall become the Booking Agent, the Star Partner shall cooperate with the ▇▇▇▇▇ Partner in facilitating such transition, including by delivering to the ▇▇▇▇▇ Partner, at the expense of the Star Partner, the original records and other documentation which it shall have in its possession relating to the performance by it of its duties or powers as the Booking Agent under this Article 17.

  • L/C Issuer The L/C Issuer shall act on behalf of the Lenders with respect to any Letters of Credit issued by it and the documents associated therewith. The L/C Issuer shall have all of the benefits and immunities (i) provided to the Administrative Agent in this Section 11 with respect to any acts taken or omissions suffered by the L/C Issuer in connection with Letters of Credit issued by it or proposed to be issued by it and the Applications pertaining to such Letters of Credit as fully as if the term “Administrative Agent”, as used in this Section 11, included the L/C Issuer with respect to such acts or omissions and (ii) as additionally provided in this Agreement with respect to such L/C Issuer.

  • Administrative Agent (i) Administrative Agent may resign at any time by giving thirty (30) days’ prior written notice thereof to Company. Upon any such written notice of resignation, Requisite Lenders shall have the right, upon five (5) Business Days’ notice to Company, to appoint a successor Administrative Agent provided, that the appointment of a successor Administrative Agent shall require (so long as no Default or Event of Default has occurred and is continuing) Company’s approval, which approval shall not be unreasonably withheld, delayed or conditioned. Upon the acceptance of any appointment as Administrative Agent hereunder by a successor Administrative Agent, that successor Administrative Agent shall thereupon succeed to and become vested with all the rights, powers, privileges and duties of the retiring Administrative Agent and the retiring Administrative Agent shall promptly (i) transfer to such successor Administrative Agent all records and other documents necessary or appropriate in connection with the performance of the duties of the successor Administrative Agent under the Credit Documents, and (ii) take such other actions, as may be necessary or appropriate in connection with the appointment of such successor Administrative Agent, whereupon such retiring Administrative Agent shall be discharged from its duties and obligations hereunder. After any retiring Administrative Agent’s resignation hereunder as Administrative Agent, the provisions of this Section 8 shall inure to its benefit as to any actions taken or omitted to be taken by it while it was Administrative Agent hereunder. (ii) Notwithstanding anything herein to the contrary, Administrative Agent may assign its rights and duties as Administrative Agent hereunder to one of its Affiliates without the prior written consent of, or prior written notice to, Company or the Lenders; provided that Company and the Lenders may deem and treat such assigning Administrative Agent as Administrative Agent for all purposes hereof, unless and until such assigning Administrative Agent provides written notice to Company and Lenders of such assignment. Upon such assignment such Affiliate shall succeed to and become vested with all rights, powers, privileges and duties as Administrative Agent hereunder and under the other Credit Documents.
