Common use of Benefits Clause in Contracts

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements.

Benefits. During the Term, the Executive shall be entitled to participate in all of benefits under the employee Company’s benefit plans and arrangements arrangements, including, without limitation, any employee benefit plan or arrangement made available in the future by the Company to its similarly situated senior executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements. The Company shall have the right to amend or delete any such benefit plan or arrangement made available by the Company to its senior executives and not otherwise specifically provided for herein.

Benefits. During the Term, the Executive shall be entitled to participate in all the other employee benefit plans, programs and arrangements of the employee benefit plans and arrangements made available Company now (or, to the extent determined by the Board or Compensation Committee, hereafter) in effect which are applicable to the senior officers of the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policygenerally, subject to and on a basis consistent with the terms, conditions and overall administration thereof (including the right of the Company to amend, modify or terminate such plans and arrangementsplans).

Benefits. During While Executive is employed by the Company during the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by programs of the Company that are available to its similarly situated executivesemployees generally to the extent that Executive meets the eligibility requirements for each individual plan or program. The Company provides no assurance as to the adoption or continuance of any particular employee benefit plan or program, including, but not limited to, and Executive’s participation in any retirement plan, medical insurance such plan and travel/holiday policy, or program shall be subject to the provisions, rules and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsregulations applicable thereto.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements that are generally made available to other employees of the Company, subject to the terms and conditions of such benefits and plans and, as such benefits and plans may be changed by the Company from time to its similarly situated executives, includingtime. Such benefits include, but not limited to, any retirement plan, (i) group medical insurance plan coverage, (ii) group life insurance coverage and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements(iii) certain stock option plans.

Benefits. During the Term, the Executive shall will be entitled to participate in all of the employee benefits and benefit plans and arrangements made available by that the Company generally makes available to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan full-time employees and travel/holiday policy, executives and for which Executive is eligible in accordance with the Companies policies as in effect from time to time. These benefits are subject to and on a basis consistent with the terms, conditions conditions, and overall administration of such plans and arrangementseligibility requirements that govern or apply to them.

Benefits. During the Term, the Executive shall will be entitled during the Term to participate in all of the employee any vacation, health, pension, insurance or other benefit plans and arrangements made available plan that is maintained by the Company for its (or its subsidiaries’) Executives and/or executives to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance the extent and in the manner prescribed by the applicable plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsdocuments.

Benefits. During the Term, the Executive shall will be entitled to participate in all of the employee benefits and benefit plans and arrangements made available by that the Company generally makes available to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan full-time employees and travel/holiday policy, executives and for which Executive is eligible in accordance with the Company’s policies as in effect from time to time. These benefits are subject to and on a basis consistent with the terms, conditions conditions, and overall administration of such plans and arrangementseligibility requirements that govern or apply to them.

Benefits. During his employment with the TermCompany, the Executive shall be entitled to participate participate, to the extent he meets all eligibility requirements of general application, in any and all of the employee benefit plans plans, programs and arrangements made available which are now or hereafter adopted by the Company to provide benefits for its similarly situated executivesemployees, including, but not limited to, any medical and hospitalization, group term life insurance, disability, and retirement planplans. Additionally, medical insurance plan and travel/holiday policy, subject Executive shall receive such other benefits as Company may make generally available to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsits senior executive officers.

Benefits. During To the Termextent permitted under the terms thereof, the Executive shall be entitled to participate in all employee benefit plans, programs and arrangements of the employee benefit Company, as in effect from time to time, including the Company’s medical and dental insurance plans and arrangements made available by the Company 401(k) plan that apply to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with executive employees of the terms, conditions and overall administration of such plans and arrangementsCompany.

Benefits. During the Term, the Executive shall be entitled to participate -------- in all of the employee benefit such group life, health, accident, disability or hospitalization insurance plans, pension plans and arrangements made available by retirement plans as the Company may make available to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyother executive employees as a group, subject to the terms and on a basis consistent with the terms, conditions and overall administration of any such plans and arrangementsplans.

Benefits. During the Term, the The Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available from time to time provided by the Company during the Term which are generally available to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan the executive employees of the Company and travel/holiday policy, subject as to and on a basis consistent which the Executive shall be eligible in accordance with the terms, conditions and overall administration terms of such plans and arrangementsplans.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by the Company to its similarly situated executivesprograms, including, but not limited without limitation, medical, dental, life insurance, disability insurance and 401(k), that the Company provides generally to comparable senior executives in accordance with, and subject to, any retirement plan, medical insurance plan the terms and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsprograms (including, without limitation, any eligibility limitations) as they may be modified by the Company from time to time in its sole discretion.

Benefits. During the Term, the Executive shall be entitled to participate participate, as long as he is an employee of the Company, in any and all of the Company’s present or future employee benefit plans plans, including without limitation pension plans, thrift and arrangements made available savings plans, insurance plans, and other benefits that are generally applicable to the Company’s executives; provided, however, that the accrual and/or receipt by Executive of benefits under and pursuant to any such present or future employee benefit plan shall be determined by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration provisions of such plans and arrangementsplan.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans plans, programs, and arrangements made available of the Company now (or, to the extent determined by the Company to its similarly situated executivesBoard, hereafter) in effect, in accordance with their terms, including, but not limited towithout limitation, any retirement plan, pension benefits and medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementswelfare benefits.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit such group life, health, accident, disability or hospitalization insurance plans, pension plans and arrangements made available by retirement plans as the Company may make available to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyother senior executive employees as a group, subject to the terms and conditions of any such plans. Executive’s participation in all such plans shall be at a level, and on a basis consistent terms and conditions, that are commensurate with his positions and responsibilities at the terms, conditions and overall administration of such plans and arrangementsCompany.

Benefits. During the Term, the Executive shall be entitled to participate in all of the or receive benefits under any life or disability insurance, health, pension, retirement, accident, and any other employee benefit plans plans, programs and arrangements made generally available by the Company to its similarly situated senior executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsarrangements as may be in effect from time to time.

Benefits. During the Term, the Executive shall be entitled to participate in and to receive any and all benefits generally available to executives at Executive’s level in the company in accordance with the terms and conditions of the employee benefit plans and arrangements made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance applicable plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsor arrangement.

Benefits. During the Term, the The Executive shall be entitled to participate in all employee benefit plans, programs and arrangements of the employee benefit plans and arrangements made available by Company which are applicable to the senior officers of the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on at a basis consistent level commensurate with the terms, conditions and overall administration of such plans and arrangementsExecutive’s position.

Benefits. During the Term, the The Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by which the Company provides or may establish from time to time for the benefit of its similarly situated executivesemployees, including, but not limited towithout limitation, any retirement plangroup life, medical insurance plan medical, surgical, dental and travel/holiday policyother health insurance, subject to short and on a basis consistent with the termslong-term disability, conditions deferred compensation, profit-sharing, paid vacation and overall administration of such plans and arrangementssimilar benefits.

Benefits. During the Term, the Perquisites The Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by of the Company Company, pursuant to its the terms of such plans, offered to employees at a level equal to similarly situated executivesexecutives at the Company. In addition, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject the Executive shall be provided with perquisites comparable to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsthose historically provided.

Benefits. During the Term, the The Executive shall be entitled to fully participate in all benefit plans that are in place and available to senior-level Executives of the employee benefit plans and arrangements made available by the Company from time to its similarly situated executivestime, including, but not limited towithout limitation, any retirement planmedical, medical dental, vision and life insurance plan and travel/holiday policy(if offered), in each case subject to the general eligibility, participation and on a basis consistent with the terms, conditions and overall administration of other provisions set forth in such plans and arrangementsplans.

Benefits. During the Term, the Executive shall be entitled to participate in and receive all of the employee benefit plans and arrangements benefits made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyexecutive officers, subject to and on a consistent basis consistent with the terms, conditions and overall administration of such plans and arrangements, including without limitation, medical, dental, vision, life and disability insurance plans and coverage, and defined benefit, defined contribution or other 401(k) program, including all Company matching provisions.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements that are generally made available to other employees of the Company, subject to the terms and conditions of such benefits and plans and, as such benefits and plans may be changed by the Company from time to its similarly situated executives, includingtime. Such benefits include, but not limited to, any retirement plan, (i) group medical insurance plan coverage, (ii) group life insurance coverage and travel/holiday policy(iii) certain stock option plans. The Company reserves the right to amend or terminate any employee benefit plans at any time in its sole discretion, subject to and on a basis consistent with the terms, conditions and overall administration terms of such plans employee benefit plan and arrangementsapplicable law.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements. The Company shall reimburse all business related expenses including, but not limited to meals, hotel, and transportation. The Company shall maintain directors and officers liability insurance covering the Executive.

Benefits. During the Term, the Executive shall be entitled to participate in all of the such employee benefit plans plans, programs and arrangements made available which are applicable to the Company’s senior executives as may be adopted by the Company from time to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policytime, subject to the terms and on a basis consistent with conditions of the termsapplicable employee benefit plan, conditions and overall administration of such plans and arrangementsprogram or arrangement.

Benefits. During the Term, the Executive shall be entitled to participate in and receive all of the employee benefit plans and arrangements benefits made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyExecutives, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements, including without limitation, medical, dental, vision, life and disability insurance plans and coverage, and defined benefit, defined contribution or other 401K program, including all company matching provisions.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans plans, programs, and arrangements made available by of the Company as may be in effect from time to its similarly situated executivestime, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent in accordance with the their terms, conditions and overall administration of such plans and arrangements.

Benefits. During the Term, the The Executive shall be entitled to fully participate in all benefit plans that are in place and available to senior level executives of the employee benefit plans and arrangements made available by the Company from time to its similarly situated executivestime, including, but not limited towithout limitation, any retirement planmedical, medical dental, vision and life insurance plan and travel/holiday policy(if offered), in each case subject to the general eligibility, participation and on a basis consistent with the terms, conditions and overall administration of other provisions set forth in such plans and arrangementsplans.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans plans, practices and arrangements made available programs maintained by the Company and made available to its similarly situated executives, employees generally including, but not limited towithout limitation, any retirement planall pension, medical retirement, profit sharing, savings, medical, hospitalization, disability, dental, life or travel accident insurance plan benefit plans, vacation and travel/holiday policysick leave. The Executive's participation in such plans, subject practices and programs shall be on the same basis and terms as are applicable to and on a basis consistent with employees of the terms, conditions and overall administration of such plans and arrangementsCompany generally.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit such group life, health, accident, disability or hospitalization insurance plans, pension plans and arrangements made available by retirement plans as the Company may make available to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyother senior executive employees as a group, subject to the terms and conditions of any such plans. Executive's participation in all such plans shall be at a level, and on a basis consistent terms and conditions, that are commensurate with his positions and responsibilities at the terms, conditions and overall administration of such plans and arrangementsCompany.

Benefits. During the Term, the The Executive shall be entitled to fully participate in all benefit plans that are in place and available to senior level Executives of the employee benefit plans and arrangements made available by the Company from time to its similarly situated executivestime, including, but not limited towithout limitation, any retirement planmedical, medical dental, vision and life insurance plan and travel/holiday policy(if offered), in each case subject to the general eligibility, participation and on a basis consistent with the terms, conditions and overall administration of other provisions set forth in such plans and arrangementsplans.

Benefits. During the Term, the Executive shall be entitled to participate in and receive all of the employee benefit plans and arrangements benefits made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyexecutive officers, subject to and on a consistent basis consistent with the terms, conditions and overall administration of such plans and arrangements, including without limitation, medical, dental, vision, life and disability insurance plans and coverage, and defined benefit, defined contribution or other 401 (k) program, including all Company matching provisions.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made policies (including vacation and other paid or unpaid time-off policies) that the Corporation establishes and makes available by the Company to its similarly situated non-physician executives, includingif any, but not limited toto the extent that Executive’s position, any retirement plantenure, medical insurance plan salary, age, health and travel/holiday policy, subject other qualifications make him eligible to and on a basis consistent with the terms, conditions and overall administration of participate under such plans and arrangementsin accordance with their terms.

Benefits. During the Term, the Executive shall be entitled to participate in all of the Employer’s employee benefit plans and arrangements made available by employee benefits, including any retirement, pension, profit-sharing, stock option, insurance, hospital or other plans and benefits which now may be in effect or which may hereafter be adopted, it being understood that Executive shall have the Company same rights and privileges to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of participate in such plans and arrangementsbenefits as any other executive employee during the term of this Agreement. Participation in any benefit plans shall be in addition to the compensation otherwise provided for in this Agreement.

Benefits. During the Term, the The Executive shall be entitled to participate in all of the employee benefit any plans and arrangements made available maintained from time to time by the Company to its similarly situated executivesfor the benefit of Company employees, including, but not limited to, any retirement planthose pertaining to group life, accident, sickness and medical insurance plan and travel/holiday policypensions, all within the terms of such plans. Participation by the Executive in any of the foregoing plans, programs and benefits is subject to and on a basis consistent with the terms, Executive being able to satisfy any pre-conditions and overall administration of general application to the participation of all employees in such plans and arrangementsplans.

Benefits. During the Term, the The Executive shall be entitled to participate in all benefits and -------- conditions of the employee benefit plans and arrangements made available employment provided by the Company to its similarly situated executivesexecutive officers, including, but not limited towithout limitation, any retirement planinsurance, medical insurance plan and travel/holiday participation in the Company's vacation policy, and participation in (except during the Initial terms as described in Section 4 hereof) any stock option or incentive compensation plans, pension, profit sharing or other retirement plans, subject (in each case) to and on a basis consistent with the terms, conditions and overall administration terms of such plans and arrangementsany provisions, rules, regulations and laws applicable to such plans.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements. The Company shall reimburse all reasonable business related expenses including, but not limited to meals, hotel, and transportation. The Company shall maintain directors and officers liability insurance covering the Executive.

Benefits. During the TermEmployment Term (and thereafter to the extent expressly provided herein), the Executive shall be entitled to participate in all of the Company’s employee benefit plans and arrangements made available by applicable to the Company Company’s comparable senior executives according to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration terms of such plans and arrangementsthose plans.

Benefits. During the Term, the The Executive shall be entitled to participate in all any employee or executive benefit plans, policies or programs that are provided generally to senior executives of the employee benefit plans and arrangements made available by the Company as such plans, policies or programs may be in effect from time to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementstime.

Benefits. During the Term, the The Executive shall be entitled to participate participate, as long as he is an employee of the Company, in any and all of the Company's present or future employee benefit plans plans, including without limitation pension plans, thrift and arrangements made available savings plans, insurance plans, and other benefits that are generally applicable to the Company's executives; provided, however, that the accrual and/or receipt by the Company Executive of benefits under and pursuant to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance such present or future employee benefit plan and travel/holiday policy, subject to and on a basis consistent with shall be determined by the terms, conditions and overall administration provisions of such plans and arrangementsplan.

During the Term, the Executive shall be entitled to participate in all of the employee benefit plans plans, programs and arrangements made available maintained by the Company from time to its similarly time that are made available generally to the Company’s similarly-situated senior executives on substantially the same basis that such benefits are provided to such senior executives; provided, includinghowever, but not limited tothat nothing in this Agreement shall be construed to require the Company to establish or maintain any particular plans, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and programs or arrangements.

Benefits. During the Term, the Executive shall be entitled to participate in all of the health care, insurance, deferred compensation and other employee benefit plans and arrangements made generally available by to executives of the Company to its similarly situated executivesCompany, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration terms of such those plans and arrangementsas they may currently exist or be modified from time to time.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made policies (including vacation and other paid or unpaid time-off policies) that the Corporation establishes and makes available by the Company to its similarly situated non-physician executives, includingif any, but not limited toto the extent that Executive’s position, any retirement plantenure, medical insurance plan salary, age, health and travel/holiday policy, subject other qualifications make her eligible to and on a basis consistent with the terms, conditions and overall administration of participate under such plans and arrangementsin accordance with their terms.

Benefits. During his employment with the TermCompany, the Executive shall be entitled to participate participate, to the extent he meets all eligibility requirements of general application, in any and all of the employee benefit plans plans, programs and arrangements made available which are now or hereafter adopted by the Company to provide benefits for its similarly situated executivesemployees, including, but not limited to, any medical and hospitalization, group term life insurance, disability, and retirement planplans. Additionally, medical insurance plan and travel/holiday policy, subject Executive shall receive such other benefits as Company may make generally available to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsits executive officers.

Benefits. During the Employment Term, the Executive shall be entitled to participate in all any health, welfare and other benefit plans, programs or arrangements offered to other senior executives of the employee benefit plans Company, subject in each case to the generally applicable terms and arrangements made available by conditions of the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyprogram or arrangement in question as in effect from time to time. During the Employment Term, the Executive shall also be entitled to paid time off per calendar year, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsCompany’s vacation policy.

Benefits. During the Term, the The Executive shall be entitled to participate participate, as long as he is an employee of the Company, in any and all of the Company’s present or future employee benefit plans plans, including without limitation pension plans, thrift and arrangements made available savings plans, insurance plans, and other benefits that are generally applicable to the Company’s executives; provided, however, that the accrual and/or receipt by the Company Executive of benefits under and pursuant to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance such present or future employee benefit plan and travel/holiday policy, subject to and on a basis consistent with shall be determined by the terms, conditions and overall administration provisions of such plans and arrangementsplan.

During the TermTerm of Employment, the Executive shall be entitled to participate in all of or receive benefits under the employee benefit plans (including health, welfare and insurance plans) and other arrangements made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policysenior employees generally (collectively “Benefits”), subject to and on a basis consistent with the terms, conditions and overall administration of such plans and or arrangements.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans plans, programs and arrangements made available by generally to the Company’s senior executives or to its employees on substantially the same basis that such benefits are provided to such senior executives; provided, however, that nothing in this Agreement shall be construed to require the Company to its similarly situated executivesestablish or maintain any particular plans, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and programs or arrangements.

During the Term, the Executive shall be entitled to fully participate in all of the employee benefit plans that are in place and arrangements made available by the to senior-level executives of Company from time to its similarly situated executivestime, including, but not limited towithout limitation, any retirement planmedical, medical dental, vision and life insurance plan and travel/holiday policy(if offered), in each case subject to the general eligibility, participation and on a basis consistent with the terms, conditions and overall administration of other provisions set forth in such plans and arrangementsplans.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by the Company generally to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with employees of comparable title or responsibilities during the terms, conditions and overall administration of such plans and arrangementsEmployment Term.

Benefits. (a) During the Term, the Executive shall be entitled to participate in all of the standard employee health and retirement benefit plans and arrangements programs made available by to the Company’s employees generally, as such plans and programs may be in effect from time to time (the “Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent Plans”). During the Term, the Executive shall be entitled to participate in and be covered by all health, insurance, pension and other employee plans and benefits currently established for the employees of the employee benefit plans and arrangements made available by Company on at least the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policysame terms as other senior executives of the Company, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsmeeting applicable eligibility requirements.

Benefits. During the Term, the Executive shall be entitled to participate in and receive all of the employee benefit plans and arrangements benefits made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyExecutives, subject to and on a basis consistent with the terms, conditions conditions, co-payments and overall administration of such plans and arrangements, including without limitation, medical, dental, vision, life and disability insurance plans and coverage, and any applicable 401k or other pension plans, to the extent they are provided.

Benefits. During the Term, the Executive shall be entitled to participate in all qualified plans, group medical and disability insurance, holidays and other employee benefits which the Company, in its sole discretion, may maintain from time to time for the benefit of its employees in general, or, if the employee benefit plans and arrangements made available Company should discontinue or cause to be discontinued any such benefits, then similar benefits, if any, as may be provided by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsemployees in general.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans plans, practices and arrangements made available programs maintained by the Company and made available to its similarly situated executives, employees generally including, but not limited towithout limitation, any retirement planall pension, medical retirement, profit sharing, savings, medical, hospitalization, disability, dental, life or travel accident insurance plan benefit plans, vacation and travel/holiday policysick leave. The Executive’s participation in such plans, subject practices and programs shall be on the same basis and terms as are applicable to and on a basis consistent with employees of the terms, conditions and overall administration of such plans and arrangementsCompany generally.

Benefits. (a) During the Term, the Executive shall be entitled to participate in all of the medical and other employee benefit plans, including vacation, sick leave, life insurance, retirement accounts, vacation and holiday allowances and other employee benefits provided by Company to similarly situated employees on terms and conditions no less favorable than those offered to such employees (and no less favorable to Executive than similar plans and arrangements made available offered by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, executive management). Such participation shall be subject to the terms of the applicable plan documents and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsCompany’s generally applicable policies.

Benefits. During the Termterm of employment hereunder, the Executive shall be entitled to participate fully in all any benefit plans, programs, policies and any fringe benefits which may be made available to the senior executives of the employee benefit Company generally (except incentive and other bonus plans and arrangements made available by the Company to its similarly situated executivesother than as specifically contemplated in this Agreement), including, including but not limited toto medical, any dental, disability, pension and retirement planbenefits, medical life insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsother death benefits.

Benefits. During the Term, the Executive shall be entitled to participate in and to receive any and all benefits generally available to executives at Executive’s level in the Company in accordance with the terms and conditions of the employee benefit plans and arrangements made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance applicable plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsor arrangement.

Benefits. During the Term, the Executive shall be entitled to participate in all the Company’s other incentive compensation and employee benefit plans, programs, and arrangements, including vacation (other than severance plans), as are generally applicable to senior executives of the employee benefit plans Company, provided that Executive meets and arrangements made available by continues to meet the Company to its similarly situated executives, including, but not limited to, any retirement Company’s or the applicable eligibility requirements of such plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsprogram or arrangement.

Benefits. During the Term, the Executive shall be entitled to participate in all employee benefit plans, programs and arrangements of the employee benefit plans Company as are provided generally from time to time to all other similarly situated employees of the Company. All such benefits are subject to the provisions of their respective plan documents in accordance with their terms and arrangements made available are subject to amendment or termination by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementswithout Executive’s consent.

During the Term, the Executive shall be entitled to apply to participate in all of the employee benefit plans and arrangements that are generally made available to other senior executive officers of the Company, subject to the terms and conditions of such benefits and plans and, as such benefits and plans may be changed by the Company from time to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementstime.

During the Term, the Executive shall be entitled to participate in all of the employee such benefit plans and arrangements payroll practices, in accordance with the terms thereof, as may from time to time be generally made available by to the Company to its similarly situated executivesCompany’s senior executives (including without limitation - health/medical insurance plans, including, but not limited to, any retirement dental insurance plan, medical life insurance plan, disability insurance plan, 401(k) and other pension and retirement plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements).

Benefits. During the Term, the Executive shall be entitled to participate in and receive all of the employee benefit plans and arrangements benefits made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyexecutive officers, subject to and on a consistent basis consistent with the terms, conditions and overall administration of such plans and arrangements.

Benefits. During the Employment Term, the Executive shall be entitled to participate in all any health, welfare and other benefit plans, programs or arrangements offered to other senior executives of the employee benefit plans Company, subject in each case to the generally applicable terms and arrangements made available by conditions of the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyprogram or arrangement in question as in effect from time to time. During the Employment Term, the Executive shall also be entitled to paid time off per calendar year, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsCompany's vacation policy.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans plans, programs and arrangements (health, dental, disability, 401k, etc.) made available by generally to the Company’s senior executives or to its employees on substantially the same basis that such benefits are provided to such senior executives; provided, however, that nothing in this Agreement shall be construed to require the Company to its similarly situated executivesestablish or maintain any particular plans, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and programs or arrangements.

Benefits. During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by the Company to its similarly situated executivesexecutives as in effect from time to time, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements.

Benefits. During the TermTerm of Employment, the Executive shall be entitled to participate in all of or receive benefits under the employee benefit plans (including 401(k), health, welfare and insurance plans) and other arrangements made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policysenior employees generally (collectively “Benefits”), subject to and on a basis consistent with the terms, conditions and overall administration of such plans and or arrangements.

Benefits. During the TermExcept as may otherwise be indicated in this Agreement, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements made available by the Company to its similarly situated executivesplans, including, including but not limited to, any medical coverage, life insurance and contributions to Executive’s retirement plan, medical insurance plan that the Company has adopted or may adopt, maintain or contribute to for the benefit of its executives at a level commensurate with Executive’s position and travel/holiday policycompensation, subject to satisfying the applicable eligibility requirements therefore and on a basis consistent in accordance with the terms, conditions and overall administration terms of such plans and arrangementsthose plans.

During the Employment Term, the Executive shall be entitled to participate in all pension, profit sharing and other retirement plans, all incentive compensation plans and all group health, hospitalization and disability insurance plans and other employee welfare benefit plans in which other senior executives of the employee benefit plans Company may participate on terms and arrangements made available by conditions no less favorable than those which apply to such other senior executives of the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangementsCompany.

Benefits. During the Term, the Executive shall be entitled to participate in or receive benefits under all of the employee corporate employment benefit plans and arrangements made available by the Company to its similarly situated executivesplans, including, but not limited to, any pension or retirement plan, savings plan, medical or health-and-accident plan, life and disability and other insurance plan plans or arrangements generally made available by UAIGI to its executives and travel/holiday policykey management employees as a group, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements.

During the Term, the Executive shall be entitled to participate in and receive all of the employee benefit plans and arrangements benefits made available by the Company to its similarly situated executives, including, but not limited to, any retirement plan, medical insurance plan and travel/holiday policyExecutives, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements, including without limitation, medical, dental, vision, life and disability insurance plans and coverage.

Benefits. The Company shall have the right to terminate or change any such plan or program at any time.

During the Term, the Executive shall be entitled to participate in all of the employee benefit plans and arrangements that are generally made available to other employees of the Company, subject to the terms and conditions of such benefits and plans and, as such benefits and plans may be changed by the Company from time to its similarly situated executives, includingtime. Such benefits include, but are not limited to, any retirement plan, (i) group medical insurance plan coverage, (ii) group life insurance coverage and travel/holiday policy, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements(iii) certain stock option plans.
