Benefit; Assignment. (a) This Agreement is binding upon and inures to the benefit of the parties, their successors and permitted assigns. This Agreement may not be assigned or the duties of the parties hereunder delegated to others without the prior written consent of all parties hereto, except that the Buyer may assign its rights, duties and obligations hereunder to the Parent or to a wholly-owned subsidiary of the Buyer or the Parent without the Company's or the Shareholders' consent and any such assignment shall not relieve the assignor of any liability hereunder.
