Benefit; Assignment. Subject to provisions herein to the contrary, this Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective legal representatives, successors and assigns. No party may assign this Agreement without the prior written consent of the other party; provided, however, that a party hereto may assign its interest (or a portion thereof) in this Agreement to an Affiliate, but, in such event, the assignor shall be required to remain obligated hereunder in the same manner as if such assignment had not been effected.

Benefit; Assignment. An Insured Person may assign Benefit Amounts other than those for Loss of Life. Such assignment must be in writing, signed by the Insured Person and filed with the Policyholder. Benefit; Assignment. This Agreement shall be binding upon and inure to the benefit of and shall be enforceable by Purchaser, the Seller and their respective successors and assigns. This Agreement may not be assigned by any party hereto without the prior written consent of the other parties, provided that Purchaser may assign this Agreement, in whole or in part, to one or more wholly-owned subsidiaries of Purchaser without the consent of the Seller.

This Agreement may not be assigned or the duties of the parties hereunder delegated to others without the prior written consent of all parties hereto, except that the Buyer may assign its rights, duties and obligations hereunder to the Parent or to a wholly-owned subsidiary of the Buyer or the Parent without the Company's or the Shareholders' consent and any such assignment shall not relieve the assignor of any liability hereunder.
