Common use of Benefit; Assignment Clause in Contracts

Benefit; Assignment. This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective legal representatives, successors and assigns and no others. Neither party may assign this Agreement without the prior written consent of the other party, however, Buyer may freely assign this Agreement without the prior written consent of Seller in connection with the sale of all or substantially all of the assets or stock of Buyer, whether by merger, acquisition or otherwise.

Benefit; Assignment. This Subject to provisions herein to the contrary, this Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective legal representatives, successors and assigns and assigns; provided, however, that no others. Any assignment by merger, acquisition or otherwiseany party shall not relieve such assignor from its obligations hereunder.
