Common use of Authorized Source Clause in Contracts

Authorized Source. Licensee shall be responsible to source, from a third-party vendor, any and all human umbilical cords to be utilized with application of the Technology for manufacturing Licensed Products. However, prior to applying the Technology to such human umbilical cords obtained from a source, Licensee agrees to first disclose the source of all such human umbilical cords to INmuneBio and obtain written authorization from INmuneBio to apply the Technology to the cord(s) from any such source. INmuneBio shall have a right to request any information pertinent to ethical sourcing and donor screening, and Licensee agrees to provide the requested information to the extent allowable by law. INmuneBio agrees to not unreasonably withhold, delay or condition authorization for application of the Technology to Licensee’s ethically sourced human umbilical cords.
