Authority to Execute Documents. The Owner Participant hereby authorizes and directs the Owner Trustee to execute and deliver the Operative Documents and any other agreements, instruments or documents to which the Owner Trustee is a party in the respective forms thereof in which delivered from time to time by the Owner Participant to the Owner Trustee for execution and delivery and, subject to the terms hereof, to perform its duties and, upon instructions from the Owner Participant, exercise its rights under said Operative Documents in accordance with the terms thereof.
