Assumption and Acceptance of the Premises. Sublessee assumes and agrees to perform each and every obligation of the Sublessor under the Lease with respect to the Subpremises that arise during the term hereof; provided, however, that Sublessee's fulfillment of its obligations under Section 4 shall replace and be in lieu of any obligations with respect to Rent, Taxes, Utilities, Common Area Maintenance and other like expenses under the Lease. Sublessee will accept the Subpremises in its condition as of the Commencement Date and acknowledges that it shall have no claim against Lessor for any matters arising prior to the Commencement Date.
